Welcome to Logistix Inc. ("Company", "we", "our", "us"). These Terms and Conditions ("Terms") govern your use of our website, services, and any related content (collectively, the "Services"). 2. Definitions
"Customer" means any individual or entity that uses our Services. "Shipment" means any goods or items tendered to us for transportation. "Carrier" includes Logistix and any third‑party carriers we engage.
3. Services
Logistix provides logistics, freight forwarding, warehousing, and related services. We act as a freight forwarder and may engage sub‑contractors to perform part or all of the transportation. Specific service descriptions and limitations are provided at the time of booking.
4. Acceptance of Terms
By requesting a quote, booking a shipment, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any additional terms and conditions incorporated by reference.
5. User Obligations
You agree to provide accurate, complete, and up‑to‑date information about yourself and your Shipment. You are responsible for ensuring that your Shipment complies with all applicable laws, regulations, and restrictions (including customs, import/export controls, and prohibited items). You indemnify Logistix against any losses arising from inaccurate information or non‑compliance.
6. Prohibited Items
The following items are strictly prohibited from transportation unless expressly agreed in writing and handled under special conditions: dangerous goods, hazardous materials, firearms, explosives, perishables without proper packaging, illegal substances, and any items prohibited by law. Logistix reserves the right to inspect shipments and refuse any item at our sole discretion.
7. Booking and Payment
Quotes are valid for a specified period and are subject to change based on actual shipment characteristics. Payment terms are as stated on the invoice; failure to pay may result in suspension of Services and storage fees. All charges are exclusive of taxes, which the Customer shall pay.
8. Cancellation and Refunds
Cancellations must be made in writing. If a Shipment has already been processed, cancellation fees may apply. Refunds are issued at our discretion and only for unused Services. No refunds are given for delays caused by circumstances beyond our control.
9. Liability and Insurance
Logistix's liability for loss or damage to a Shipment is limited to the amounts set out in the applicable tariff or as required by law. We strongly recommend purchasing insurance for full protection. Claims must be submitted in writing within 7 days of delivery (or scheduled delivery) and supported by evidence.
10. Force Majeure
Neither party shall be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, embargoes, government regulations, or natural disasters.
11. Intellectual Property
All content on our website, including logos, text, graphics, and software, is the property of Logistix or its licensors and is protected by copyright and other laws. You may not reproduce, distribute, or create derivative works without our express written permission.
12. Privacy
Your use of our Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.
13. Third‑Party Links
Our website may contain links to third‑party websites. Logistix is not responsible for the content or practices of those sites and provides them for convenience only.
14. Modification of Terms
We may update these Terms from time to time. The most current version will be posted on this page with an updated "Last updated" date. Your continued use of the Services after any changes constitutes acceptance of the new Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in New York County, New York.
